Terms of Service

These terms govern your use of ERPSpan, a hosted API service for Microsoft Dynamics GP operated by ERPSpan ("we", "us"), reachable at andri@erpspan.com. By creating an account or using the service you agree to these terms. If you are using ERPSpan on behalf of a company, you agree on that company's behalf.
1. The service
ERPSpan provides API access (REST and MCP) to Microsoft Dynamics GP environments that you or your customers control, via an agent you install on the relevant server. You are responsible for having the right to connect each GP environment you connect, including your customers' environments. Microsoft Dynamics GP is a product of Microsoft Corporation; ERPSpan is not affiliated with or endorsed by Microsoft.
2. Accounts and API keys
Keep your API keys and credentials secret. You are responsible for activity performed with your keys until you revoke them in the dashboard. Test keys and the shared demo sandbox are free and may be rate-limited, reset, or changed at any time.
3. Fees and billing
Paid plans are billed per connected GP environment ("connection") at the prices shown on our pricing page at the time of purchase. Payments are processed by Dodo Payments as merchant of record; your payment relationship, including applicable taxes and refunds, is handled through them. Connection counts are metered from active connections your application actually uses. You can cancel any time; paid features stop at the end of the billing period. Agreed founder or design-partner pricing stays in force for its agreed duration.
4. Writes to your ERP are your responsibility to review
Write operations are disabled by default and must be enabled per data category, per connection, by you. Writes are performed through eConnect, Microsoft's validation layer, and are created as unposted batches: they do not become final accounting records until a person posts them inside GP. You are responsible for reviewing and posting batches. We strongly recommend keeping write access limited to the categories you need.
5. Acceptable use
- Only connect GP environments you are authorized to connect.
- No attempts to breach, probe, or overload the service or other tenants.
- No reselling raw access to the service without an agreement with us.
- No unlawful use.
6. Availability and support
We aim for high availability but the service is provided without a guaranteed uptime level unless agreed in writing (Enterprise plans). Your connection also depends on systems we do not control: your server, your network, and Dynamics GP itself. Support is provided by email at andri@erpspan.com.
7. Data
Data passing through the service is handled as described in our privacy policy. Your ERP credentials never leave your server. You retain all rights to your data and your customers' data.
8. Disclaimers and liability
The service is provided "as is". To the maximum extent permitted by law, we disclaim implied warranties and our total liability for any claim arising out of the service is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect or consequential damages, or for the contents of accounting records you choose to post inside GP.
9. Termination
You may stop using the service and delete your account at any time. We may suspend or terminate accounts that violate these terms, with notice where practical. On termination we will, on request, delete your control-plane data as described in the privacy policy.
10. Changes
We may update these terms; material changes will be announced by email to account holders at least 14 days in advance. Continued use after the effective date constitutes acceptance.
11. Governing law
These terms are governed by the laws of Iceland, and disputes belong to the courts of Iceland, unless mandatory law where you are located provides otherwise.
